Actual results may vary materially based on workload characteristics, model selection, traffic patterns, deployment architecture, configuration choices, geographic region, service tiers, pricing changes, and other factors.

Unless expressly stated in a signed agreement, performance figures, pricing comparisons, and results described by Radium are not guarantees and should not be interpreted as commitments, warranties, or assurances.

Required disclaimers for specific campaign statements. Where used, the following statements must be read as subject to these disclosures:

Security and Availability; No Warranty

Radium uses reasonable administrative, technical, and organizational measures intended to protect the Website and related systems. The Website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Radium disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.

Limitation of Liability

To the fullest extent permitted by applicable law, Radium and its directors, officers, employees, contractors, agents, affiliates, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings, arising out of or related to the Website, Marketing Materials, tracking technologies, or your reliance on any information contained therein, even if Radium has been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Radium’s total liability for any claim arising out of or relating to the Website or Marketing Materials shall be limited to one hundred Canadian dollars (CAD $100), or the minimum amount permitted by law, whichever is greater, unless a different limitation is set out in a written agreement signed by Radium.

Some jurisdictions do not allow certain limitations of liability. In such cases, the above limitations may not apply to you to the extent prohibited by law.

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Radium and its directors, officers, employees, contractors, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Website, your violation of this Legal Notice, or your infringement of any rights of a third party.

Where a product or service is provided under a signed agreement, that agreement governs in the event of conflict with this Legal Notice.

Governing Law and Jurisdiction

This Legal Notice is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree that any dispute arising out of or relating to the Website, Marketing Materials, or this Legal Notice shall be brought exclusively in the courts located in Toronto, Ontario, and you submit to the personal jurisdiction of those courts.

Severability; No Waiver

If any provision of this Legal Notice is found to be unlawful, void, or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect. Radium’s failure to enforce any provision of this Legal Notice will not be deemed a waiver of that provision or any other provision.

Radium may update this Legal Notice from time to time. Any updates will be posted on this page with a revised “Last updated” date. Your continued use of the Website after updates are posted constitutes your acceptance of the revised Legal Notice, to the extent permitted by law.
